1. Acceptance of Terms

By accessing or using VarShield's website, products, and services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Service Description

VarShield provides AI security posture management services, including but not limited to: shadow AI detection, OAuth scope analysis, AI agent behavior monitoring, security posture scoring, and compliance reporting.

Our Services operate on a metadata-only basis. We analyze connection metadata, OAuth scopes, and behavioral signals. We do not access, read, store, or process the content of your files, emails, messages, or documents.

3. Accounts

To use certain features of the Services, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete registration information
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.

4. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to develop a competing product or service
• Resell, sublicense, or otherwise make the Services available to third parties without our written consent

6. Intellectual Property

The Services, including all software, algorithms, designs, documentation, and content, are owned by VarShield and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

You retain all rights to your data. We claim no ownership over any data you provide to or generate through the Services. We use your data solely to provide and improve the Services as described in our Privacy Policy.

7. Subscription & Payment

Certain features of the Services require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase.

• Prices are subject to change with 30 days' prior notice
• Refunds are available within 14 days of initial purchase for annual plans
• Failure to pay may result in suspension or termination of your account
• You are responsible for all applicable taxes

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARSHIELD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

VarShield does not warrant that the Services will be uninterrupted, error-free, or completely secure. Security assessments and recommendations are provided for informational purposes and do not guarantee protection against all threats.

10. Termination

Either party may terminate these Terms at any time. You may terminate by discontinuing use of the Services and deleting your account. We may terminate or suspend your access if you violate these Terms or if we discontinue the Services.

Upon termination, your right to use the Services ceases immediately. We will delete your data within 30 days of account termination, unless retention is required by law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
